Acceptance of Terms

By using SuikaTalk, you accept these Terms and Conditions in full. If you disagree with any part of these terms, you must not use SuikaTalk.

 

Changes to Terms

SuikaTalk reserves the right to modify these Terms and Conditions at any time. We will notify you of any changes by posting the new Terms and Conditions on this page. Your continued use of the platform after such modifications will constitute your acknowledgment of the modified terms and your agreement to abide by them.

 

Children and Age Restrictions

Platform does not knowingly collect, either online or offline, personal information from persons under the age of thirteen. If you are under 18, you may use SuikaTalk only with permission of a parent or guardian.

 

Use of the Platform

 -          Eligibility: To use SuikaTalk, you must be at least 18 years old or have the consent of a parent or guardian.

 -          Account Registration: You may need to create an account to access certain features of the platform. You agree to provide accurate and complete information during the registration process and to update such information to keep it accurate and complete.

 -          Prohibited Email Use: Users must not register accounts using disposable, temporary, anonymous, or third-party email addresses. All accounts must be registered with an email address that is personally owned and regularly accessible by the user. SuikaTalk reserves the right to suspend or terminate any account found to be registered with such email services or unauthorised email addresses.

 -          User Responsibilities: You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach.

 -          User Liability: You are solely responsible for any damages arising from insufficient account management, operational errors, or use by any third party. If your account is used fraudulently or without your consent, you must inform SuikaTalk immediately. Even in such cases, SuikaTalk will not be liable for any resulting damages.

 -          Service Usage at Own Risk: Users access and use the services of SuikaTalk at their own risk and discretion. SuikaTalk shall not be held liable for any consequences resulting from individual decisions or actions on the platform.

 -          Misuse of Registration: SuikaTalk is a platform solely intended for individuals interested in learning or teaching the Japanese language. Users who register for purposes unrelated to Japanese language education—such as fraudulent activity, solicitation, or other non-relevant objectives—are strictly prohibited. If such misuse is detected, SuikaTalk reserves the right to suspend or terminate the user’s account immediately and without prior notice.

 

Personal Responsibility and Account Usage

All users shall personally undertake the registration of their own accounts, using their own devices. Registration must not be carried out on behalf of another individual, nor on a device that does not belong to the individual creating the account, except in the case of minors under the age of 18, who must register with the assistance and consent of a parent or legal guardian. Proxy registration and use of shared or third-party devices for account creation are strictly prohibited.
Furthermore, users shall not lend, transfer, or allow any third party to use their accounts under any circumstances. By creating an account, the user represents and warrants that the registration is performed with their full knowledge, voluntary consent, and intent, and on their own personal device.
Users bear sole responsibility for all activities conducted under their accounts. Any claim asserting that actions were performed without the user’s knowledge or consent—such as allegations of account compromise or unauthorised use—shall not constitute a valid defence, unless the user has promptly notified SuikaTalk of the breach and provided clear and compelling evidence thereof. SuikaTalk expressly reserves the right to hold the account holder fully liable for all violations attributable to their account.

 

Intellectual Property

All content on SuikaTalk, including but not limited to text, graphics, logos, images, and software, is the property of SuikaTalk or its content suppliers and is protected by international copyright laws. You may not reproduce, distribute, modify, create derivative works from, or exploit any content without express written permission from SuikaTalk.

 

User Content

You retain ownership of any content you submit, post, or display on or through SuikaTalk. However, by submitting, posting, or displaying content, you grant SuikaTalk a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, modify, publish, and distribute such content in any media.
You represent and warrant that any content you submit does not infringe upon any intellectual property rights or other rights of any third party and complies with all applicable laws. You are solely responsible for the content you submit.
SuikaTalk does not guarantee the accuracy, legality, or appropriateness of any user-submitted content and assumes no liability for such content.
You acknowledge and agree that SuikaTalk may, without prior notice and at its sole discretion, remove, disable access to, edit, modify, or replace any user-submitted content if it receives a credible notice or complaint alleging that such content infringes third-party rights or violates laws. SuikaTalk may also suspend or terminate the accounts of users responsible for such content and cooperate with relevant authorities or rights holders as appropriate.

 

Administrator Access to User Accounts and Communications

SuikaTalk reserves the right to monitor and access user communications, including private messages exchanged between tutors and learners, as well as any content posted on the platform. This access is granted solely for the purpose of ensuring compliance with the platform's rules, providing support, resolving disputes, or investigating suspected violations of the terms of service. SuikaTalk may also log into user accounts for administrative purposes such as troubleshooting, account management, or service optimisation.
In exceptional and clearly justified situations, SuikaTalk administrators may perform limited actions within a user's account—such as adjusting platform-related settings or completing system-level processes—when it is reasonably necessary to maintain the stability or integrity of the service. Such actions will be carried out with due care in situations including, for example, cases where it is difficult for the user to take prompt action.

Prohibited Activities

You agree not to engage in any of the following prohibited activities:

 

 -          Violating any local, state, national, or international laws or regulations.

 -          Infringing upon the intellectual property or privacy rights of others.

 -          Uploading or transmitting viruses, malware, or any other malicious code.

 -          Using the platform for any fraudulent or malicious purposes.

 -          Conducting lessons directly between tutors and learners outside of SuikaTalk.

 -          Harassing, abusing, or harming other users.

 -          Failing to comply with the instructions provided by SuikaTalk administrators.

 

Guidelines and Responsibilities

This section is exclusively for tutors using the SuikaTalk platform.
Before completing your application as a tutor on SuikaTalk, you agree to read and fully understand the document linked on the tutor registration page. Compliance with the guidelines and instructions outlined in this document is mandatory.

 

Termination

SuikaTalk reserves the right to suspend or terminate your account and access to the platform at our sole discretion, without notice and for any reason, including if you breach these Terms and Conditions.
If an account is suspended or terminated due to a violation of these Terms and Conditions, any remaining balance or unwithdrawn credits in that account may be permanently forfeited without notice or compensation.

 

Account Deletion and Loss of Data and Financial Rights

By deleting your SuikaTalk account, you will forfeit all data and rights associated with the account. This includes, but is not limited to, any remaining balance, unclaimed earnings, points, gift cards, and other financial credits. Additionally, access to your lesson history and past lesson recordings will be permanently lost. These items and data cannot be restored or accessed after account deletion. Please note that once the account is deleted, you will have no further rights to these assets, and you will not be able to recover them.

 

Currency Disclaimer

The primary currency for transactions on SuikaTalk is USD. While SuikaTalk provides an option to display prices in JPY, this feature is for reference purposes only. Displayed JPY amounts are approximate and may not reflect real-time exchange rates or the precise cost. SuikaTalk is not liable for any discrepancies arising from currency conversion.

 

Disclaimer Regarding User Errors

SuikaTalk shall not be held responsible for any loss or damage resulting from user errors, such as accidentally pressing the "End Lesson" button, cancelling a lesson, or making a booking with the wrong teacher or at the wrong time. No refunds or compensation will be provided in such cases. All actions taken on the platform are the sole responsibility of the user, and should be done with care and attention.

                  

Disclaimer of Warranties

SuikaTalk is provided on an "as is" and "as available" basis. We make no warranties, expressed or implied, regarding the platform's operation or the information, content, or materials included.

The features and functionalities of SuikaTalk may be changed or removed at any time without prior notice. We are not liable for any damages or losses that may result from these changes.

 

Limitation of Liability

To the fullest extent permitted by law, SuikaTalk shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, data, use, goodwill, or other intangible losses resulting from (i) your access to or use of or inability to access or use the platform; (ii) any conduct or content of any third party on the platform; (iii) any content obtained from the platform; and (iv) unauthorized access, use, or alteration of your transmissions or content.

 

Limitation of Liability for User Interactions

SuikaTalk operates as an intermediary platform facilitating connections between language tutors and learners. SuikaTalk does not directly participate in, nor does it supervise, the interactions, communications, or transactions between users.
Accordingly, SuikaTalk shall not be held liable for any acts, omissions, misconduct, or disputes arising between users, including but not limited to:

 

 -          Alleged breaches of contract, misrepresentations, or failures to deliver agreed-upon services;

 -          Unlawful, inappropriate, or offensive behaviour by any user;

 -          Emotional distress, reputational damage, or any other harm resulting from user interactions.

 

Users acknowledge and agree that they engage with other users at their own risk and discretion. SuikaTalk disclaims all warranties and liabilities related to user conduct and interactions. In the event of a dispute between users, SuikaTalk may, at its sole discretion, choose to mediate; however, it is under no obligation to do so and shall not be responsible for resolving such disputes.

 

Governing Law

These Terms and Conditions shall be governed and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.
